1. Acceptance of Terms

By requesting access to, registering on, or using OffMarket DLZ ("the platform", "we", "our"), you agree to be bound by these Terms of Use. If you do not agree, you may not use the platform.

These terms apply to all users, including agents, administrators, and any other individuals granted access to the platform.

2. Eligibility

Access to OffMarket DLZ is by invitation and manual review only. To be eligible, you must:

• Be a licensed real estate professional operating in the UAE
• Hold a valid RERA license or equivalent professional credential
• Provide accurate and complete information during the access request process
• Not have been previously suspended or banned from the platform

3. Platform Purpose

OffMarket DLZ is a private deal flow network for verified real estate agents. The platform is designed to:

• Facilitate the sharing of off-market listings between agents
• Match listings with active buyer and tenant requirements
• Build and track professional reputation through verified transactions

The platform is not a public listing portal, a marketing tool, or a consumer-facing service.

4. User Obligations

By using the platform, you agree to:

• Post only listings and requirements that are genuine, accurate, and within your mandate
• Not share platform access, credentials, or content with unauthorised individuals
• Not scrape, copy, or redistribute data from the platform
• Treat all other agents with professionalism and respect
• Not engage in spam, misleading communications, or any form of manipulation
• Comply with all applicable UAE real estate regulations and RERA guidelines

5. Listings and Requirements

You are solely responsible for the accuracy of any listings or requirements you post. By posting, you confirm that:

• You have a valid mandate or instruction to represent the property or client
• All information provided is accurate to the best of your knowledge
• Pricing is reflective of genuine market conditions

OffMarket DLZ reserves the right to remove any listing or requirement that violates these terms or platform policies.

6. Signal Scores & Reputation

The platform operates a signal scoring system based on platform activity, peer ratings, and compliance history. Signal scores are calculated algorithmically and are visible to other platform members. You agree that:

• Ratings submitted by other agents reflect their genuine experience
• Attempting to manipulate signal scores constitutes a violation of these terms
• OffMarket DLZ may adjust or recalculate scores based on verified information

7. Enforcement & Suspension

OffMarket DLZ reserves the right to issue warnings, temporary suspensions, or permanent bans for violations of these terms. Grounds for enforcement include but are not limited to:

• Posting false or misleading listings
• Harassment or unprofessional conduct toward other agents
• Sharing platform access or data with third parties
• Repeated or serious breaches of platform policies

8. Intellectual Property

All platform content, design, algorithms, and software are the intellectual property of OffMarket DLZ. You may not reproduce, distribute, or create derivative works without explicit written permission.

9. Disclaimer

OffMarket DLZ is a facilitation platform. We do not verify property ownership, guarantee the accuracy of listings, or take responsibility for transactions conducted between agents. All deals are the responsibility of the parties involved.

10. Limitation of Liability

To the fullest extent permitted by law, OffMarket DLZ shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including lost deals, lost data, or loss of reputation.

11. Governing Law

These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

12. Changes to Terms

We may update these Terms of Use at any time. Material changes will be communicated to active users via email. Continued use of the platform constitutes acceptance of the revised terms.
